Terms of Service

1. Agreement to Terms

By accessing or using ListMatchGenie ("the Service"), operated by ListMatchGenie ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 16 years old to create an account and use the Service.

3. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload files containing malware, viruses, or malicious code
  • Attempt to access other users' accounts, files, or data
  • Use the Service to process data in violation of applicable data protection laws (including GDPR, CCPA, or other privacy regulations)
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts, bots, or scraping tools to access the Service
  • Resell, redistribute, or sublicense access to the Service without written permission
  • Intentionally overload or disrupt the Service infrastructure
  • Upload data that you do not have the legal right to process

4. Data Processing and Ownership

You retain full ownership of all data you upload to the Service. We do not claim any intellectual property rights over your uploaded files, match results, or exported reports.

By uploading files to the Service, you grant us a limited license to process your data solely for the purpose of providing the matching, cleansing, and analysis features you request. This license terminates when you delete your files or your account.

You represent and warrant that you have all necessary rights and consents to upload and process the data you submit to the Service. If you upload data containing personal information of third parties, you are responsible for ensuring you have a lawful basis for that processing under applicable data protection laws.

For GDPR purposes, you are the Data Controller and we are the Data Processor. Our Data Processing Agreement governs how we process personal data on your behalf.

5. Subscription and Billing

5.1 Plans and Pricing

The Service is offered in multiple tiers: Free, Starter, Pro, and Business. Current pricing and feature details are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

5.2 Billing

Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All amounts are in US dollars unless otherwise stated.

5.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for. No refunds are provided for partial billing periods.

5.4 Downgrades

If you downgrade from a paid plan to a lower tier or the Free plan, features and limits of the new tier apply at the start of the next billing cycle. Data exceeding the new tier's storage limits will be retained for 90 days, after which it may be deleted.

6. Tier Limits and Fair Use

Each subscription tier includes specific limits on:

  • Maximum source rows per match job
  • Maximum master rows per match job
  • Number of match jobs per month
  • Number of AI-powered questions per month
  • File storage capacity
  • Number of active shareable dashboard links

Current limits for each tier are displayed on our Pricing page. We reserve the right to enforce fair use limits to prevent abuse that degrades service quality for other users. If your usage consistently exceeds your tier limits, we may ask you to upgrade to an appropriate plan.

7. Intellectual Property

The Service, including its design, code, algorithms, documentation, branding, and all related intellectual property, is owned by ListMatchGenie and protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription term. This license does not grant you any rights to our underlying technology, algorithms, or source code.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that match results will be 100% accurate or complete. Matching algorithms use probabilistic methods and results should be reviewed by the user before taking action. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ListMatchGenie, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ListMatchGenie from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights (including data protection rights of data subjects whose data you upload to the Service).

11. Termination

We may suspend or terminate your account and access to the Service if:

  • You violate these Terms or our Acceptable Use policy
  • Your payment method fails and you do not resolve the issue within 14 days
  • We are required to do so by law
  • We reasonably believe your use poses a security risk to the Service or other users

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export your files. After 30 days, all data associated with your account will be permanently deleted.

You may terminate your account at any time by deleting it from your account settings or by contacting us at support@listmatchgenie.com.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email and by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.
